Antea Polska S.A. supported Enea S.A. in the process of acquiring shares in six operating wind farms with a total installed capacity of 83.5 MW located in the West Pomeranian Voivodeship and an option to purchase a 25 MW photovoltaic farm project (‘Project Zephyros’).

Antea Polska conducted technical and environmental due diligence of the operating and planned RES assets and prepared technical and environmental analysis reports.

Technical Due Diligence

The scope of work of the examined operating and planned RES assets included, i.a.:

  • Brief description and information on the basic technical parameters of the investigated generation installations, 
  • Analysis and evaluation of the technical and technological solutions of the energy industry,
  • Verification, analysis and evaluation of the production and technical parameters of the examined generation installations, 
  • Verification, analysis and evaluation of data from the SCADA system, including with regard to possible technical problems and compliance with supply and service contracts,
  • Other analyses and activities necessary for the assessment of RES assets,
  • Analysis and assessment of technical risk factors including the manner and cost of their mitigation - Risk analysis report,
  • Summary and conclusions, including a recommendation as to whether the transaction should be implemented, taking into account the results of the analyses and studies carried out.

Environmental Due Diligence

The scope of work of the examined operating and planned RES assets included, among others:

  • Analysis of the location in relation to environmentally protected areas potentially affected by the investment,
  • Analysis of conducted proceedings in the scope of environmental impact assessment together with analyses of obtained decisions on environmental conditions,
  • Analysis of the scope of fulfilment of the obligations imposed on the owner in the Environmental Decisions issued, together with the consequences of their non-fulfilment and a proposal for the possibility of fulfilling the obligations after a potential acquisition of generation assets,
  • Assessment of the risk of exceeding noise emission standards on the basis of analyses presented in the documentation prepared for the purpose of obtaining the Environmental Decision for the examined wind farms and on the basis of own analysis of the cumulated noise,
  • Assessment of the noise measurement reports carried out after the commissioning of the RES assets under investigation together with conclusions and, if the study was not carried out, the possible consequences of not carrying out the analysis together with a proposal of the possibility to comply with the obligation after a potential acquisition of generation assets,
  • An analysis of the environmental impact assessment reports with conclusions and an assessment of the risks of negative environmental impacts,
  • Relevant environmental analyses having a significant impact on the RES assets under review and their assessment,
  • Analysis and assessment of environmental risk factors together with the manner and cost of their mitigation - risk analysis reports.
  • A summary and conclusions, including a recommendation on the appropriateness of implementing the transaction, taking into account the results of the analyses and studies carried out.

Other services provided

The scope of services provided included:

  • Verification and assessment of the content of the Vendor Technical Due Diligence Report,
  • Participation in expert meetings, tele- and video-conferences, investment site visits,
  • Recommendation on the potential acquisition by the Contracting Authority or a company from the Contracting Authority's Capital Group of shares in special purpose vehicles, owners of rights to the examined operating and planned RES assets, including recommendation on the ability of the examined operating and planned RES assets to achieve the declared production targets throughout their lifetime, period of their operation, and opinion on the technical condition of the examined operating RES assets with regard to the possibility of their further operation during the assumed lifetime,
  • Cooperation with other advisors involved in the task.

Support in the transaction process

Antea Polska also supported Enea in the sale negotiations in the area of the RES assets mentioned above and verified the implementation of possible conditions precedent, the mitigation of indentified risks and included them in the transaction documentation.

The scope of services also included:

  • Verification, reviewing, proposing changes, recommending solutions and providing comments to the transaction documentation in the technical and environmental area, 
  • Supporting the Contracting Authority in finalising the Transaction ‘closing’ in the technical-environmental area,
  • Performing for the Contracting Authority other tasks in addition to those listed above (in the technical and environmental area) in order to properly carry out the process leading to the conclusion and execution of the agreement for the acquisition of shares of the Company holding the rights to the RES assets under consideration, as well as all activities that precede or accompany this process.
